1. Acceptance of Terms

By accessing or using the toolshare platform (the "Platform"), including its website and any associated mobile applications, you ("User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately cease using the Platform.

toolshare reserves the right to amend these Terms at any time. Continued use of the Platform following the posting of updated Terms constitutes your acceptance of those changes. We will use reasonable efforts to notify registered users of material changes by email or in-app notice.

2. Platform Description

toolshare is a peer-to-peer marketplace that connects individuals ("Owners") who wish to rent out tools, equipment, and related items, with individuals ("Renters") who wish to rent such items for temporary use.

toolshare is not a party to any rental agreement formed through the Platform. We do not own, inspect, insure, or control any items listed. Our role is limited to facilitating introductions between Users and providing related platform services. The rental relationship is directly between the Owner and the Renter.

3. User Accounts

You must be at least 18 years of age to create an account or use the Platform. By registering, you represent that you meet this requirement.

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. You agree to notify toolshare immediately at toolshareinfo@gmail.com if you suspect any unauthorised access to your account.

You agree to provide accurate, current, and complete information during registration and to keep your profile information up to date. toolshare may verify your identity or other account details at any time and reserves the right to suspend accounts where verification fails.

4. Listing Rules

Owners may list only items they own outright or have the legal authority to sublease. You represent and warrant that listing an item does not breach any contract, licence, or applicable law.

All listings must include accurate descriptions, honest condition assessments, clear pricing, and representative photographs. Misleading listings are prohibited and may result in immediate removal and account suspension.

Prohibited listings include, but are not limited to: firearms and ammunition; controlled substances; items subject to active recall; vehicles that require registration or licensing as a condition of use; items whose rental is prohibited under applicable law; and any item whose use poses an unreasonable safety risk.

toolshare reserves the right to remove any listing, with or without notice, at its sole discretion.

5. Rental Agreements

When a Renter submits a booking request and an Owner approves it, a binding rental agreement is formed directly between those two parties. toolshare is not a party to that agreement.

Renters must use rented items only for their intended, lawful purpose and must return items in the same condition in which they were received, subject to normal wear and tear.

Owners must make items available as described and in safe, functional condition. If an Owner cancels a confirmed booking without reasonable cause, toolshare may, in its discretion, restrict future listing privileges.

Both parties agree to communicate promptly and professionally through the Platform's messaging system for all matters related to a rental.

6. Fees & Payments

toolshare charges a platform service fee on each completed transaction. The service fee is calculated as a percentage of the rental subtotal and is disclosed at the time of booking. Fees are subject to change with reasonable prior notice.

All payments are processed through the Platform. Renters are charged at the time of booking confirmation. Owners receive payouts, net of the service fee and any applicable refunds, following completion of the rental period.

toolshare does not currently facilitate payment processing directly and is not responsible for payment disputes arising from third-party payment providers. All currency amounts displayed are in Canadian dollars (CAD) unless otherwise stated.

7. Deposits & Damages

Owners may require a refundable security deposit to protect against damage or loss. The deposit amount, if any, is displayed on the listing page and collected at the time of booking.

Deposits are fully refundable upon return of the item in its original condition. If damage, loss, or excessive soiling occurs, the Owner may retain all or part of the deposit to cover the cost of repair or replacement.

In the event of a dispute over damages, both parties agree to attempt resolution in good faith and may request mediation through toolshare by contacting toolshareinfo@gmail.com. toolshare's determination in any mediated dispute is non-binding.

Renters may be liable for damages beyond the deposit amount where the cost of repair or replacement exceeds the deposit held.

8. Prohibited Items & Conduct

The following items may not be listed or rented through the Platform: weapons of any kind; illegal substances or drug paraphernalia; items subject to government or manufacturer recall; items that require a professional licence to operate; counterfeit goods; and any item whose possession or rental is prohibited by applicable law.

The following conduct is strictly prohibited: creating false or misleading listings or reviews; using the Platform to harass, threaten, or defraud other users; circumventing the Platform to conduct transactions off-platform; and using automated means to access the Platform without authorisation.

Violations may result in immediate account suspension, removal of content, and referral to law enforcement where appropriate.

9. Limitation of Liability

To the maximum extent permitted by applicable law, toolshare, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Platform, even if advised of the possibility of such damages.

toolshare's total aggregate liability to any User for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the total fees paid by that User to toolshare in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

Nothing in these Terms shall limit liability for fraud, gross negligence, or wilful misconduct, or for any liability that cannot be excluded or limited under applicable law.

10. Dispute Resolution

Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute informally by notifying toolshare at toolshareinfo@gmail.com and allowing 30 days for resolution.

If informal resolution fails, disputes shall be resolved by binding arbitration administered under the Arbitration Act, 1991 (Ontario), with proceedings conducted in English in the City of Toronto, Ontario.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

Class actions and class-wide arbitrations are not permitted. Each User must pursue claims individually.

11. Termination

You may terminate your account at any time by contacting toolshareinfo@gmail.com. Termination does not affect any obligations arising from rentals in progress at the time of termination.

toolshare reserves the right to suspend or permanently terminate any account, with or without notice, for breach of these Terms, conduct harmful to other users or the Platform, or any other reason at our sole discretion.

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including limitation of liability, dispute resolution, and governing law) shall continue to apply.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

The parties irrevocably attorn to the exclusive jurisdiction of the courts of Ontario for any dispute not subject to arbitration under Section 10.
